Mr. Boss is a Founder
and Chairman of The Boss Group and is responsible for the oversight
of all strategic and operating activities of the firm.
Mr. Boss has over twenty-five years of international experience
in both law and business and was involved in over 70 countries while
maintaining close involvement with U.S. companies. Prior to the
Boss Group, he formed a private investment company and has concentrated
over the last 15 years on entrepreneurial and private investment
activities outside the U.S., where he has owned or owns major shareholder
interest in various businesses, mainly within the EU. Prior to his
private investment company,
Mr. Boss started an international consulting firm representing
numerous well-know major and small U.S. and non - U.S. clients in
energy, food, banking and consumer products as well as other industries.
He was involved in most aspects of corporate activity, including
mergers, acquisitions and divestitures. Prior to consulting, Mr.
Boss founded an international law firm in London and merged it into
Houston based Vinson and Elkins. |

Johansson |

Mr. Johansson is a Managing
Director with The Boss Group and has a broad range of industry experience
from light manufacturing & assembly, service, publishing, software
to information & content distribution, both domestically and
internationally.
After a 20 plus year career at Bell Howell Company (B&H), Mr.
Johansson left B&H as their CEO and President after having taken
their mail and document processing businesses private, in a leveraged
transaction. Prior to this, he served as the Executive VP, CFO and
Director of a billion dollar publicly traded company for over 10
years. During this time he was responsible for taking the publicly
traded company private in an LBO with the Robert Bass Group in 1987,
successfully led a series of refinancing and took the Company back
public in 1995. During his tenure there, he was directly responsible
for well over 100 M&A transactions, involving both public and
private companies. Mr. Johansson was also the driving force behind
the strategic transformation of B&H thereby creating a significant
amount of shareholder value.
He currently serves on the Board of PERC, a wastewater treatment
engineering, construction and operations company and is an advisor
to Crestview Capital, a PIPE fund. |

H. Whilden III |

Mr. Whilden is a Managing
Director with the Boss Group and is a corporate finance professional
with extensive experience in finance and mergers and acquisitions.
Prior to joining the Boss Group, Mr. Whilden was a Managing Partner
of Buffalo Capital Partners, a private equity firm that he co-founded.
Buffalo Capital Partners is a Houston based private equity firm
that makes opportunistic private equity investments in middle market
private companies. Prior to Buffalo Capital Partners, Mr. Whilden
was with RBC Capital Markets in their investment banking division.
Mr. Whilden joined RBC Capital markets in 1999 as one of ten individuals
involved in the start up of the investment banking effort for the
Royal Bank of Canada in the United States. Prior to RBC Capital
Markets, Mr. Whilden was with the investment bank Jefferies &
Company, Inc. as an Associate in the corporate finance department.
Mr. Whilden received his B.B.A from the University of Texas. Mr.
Whilden also received a J.D. and a Masters in Business Administration
from the University of Houston. Mr. Whilden is a licensed attorney
in the State of Texas and holds series 7 and series 63 securities
licenses.
Mr. Whilden currently serves on the Board of Directors of Jaffer
Holdings Corp. and Griffin Pipeline Services LLC. |

Dr. Michaelis is a Founding
Partner and Managing Director with The Boss Group and has extensive
management and consulting experience in the healthcare industry.
Prior to joining The Boss Group, Dr. Michaelis was Chief of Cardiothoracic
Surgery and later Chief Medical Officer, Senior Vice President of
Medical Affairs, and Associate Dean of Northwestern Memorial Hospital
and Northwestern University Medical School in Chicago. He also was
President of Northwestern Healthcare Corporation, an 1100 member
PHO and Executive Vice President of Northwestern Medical Faculty
Foundation, a 400 physician-member faculty group practice. In these
roles he was responsible for the oversight of clinical care and
quality management, research, medical staff credentialing, and graduate
medical education and was intimately involved in strategic planning,
risk management, and the development of Industrial-Academic relations
for the Hospital and Medical School. He was the executive responsible
for the Clinical Research Center at Northwestern and had a leadership
role in the development of its Clinical Trials Office.
Dr. Michaelis earned an M.D. from Indiana University Medical School
and trained in General, Thoracic, and Cardiovascular Surgery at
the University of Virginia, where he was awarded a Master's Degree
in Surgical Physiology. He has authored over 132 articles and has
been a speaker or consultant throughout the US and internationally.
He remains a tenured Professor of Surgery at Northwestern. He currently
is also a principle of a strategic consulting group and a web-based
billing company, and serves as a senior trustee/consultant/advisor
to a disease management company, a major pharmaceutical company,
two biotech firms, and a number of healthcare consulting companies,
public investing, and private equity firms. |

Mr. Tresca is a Managing
Director with The Boss Group and has extensive experience in energy
and the services sector, with an emphasis on corporate formation,
senior management and financial aspects of the international energy
business and related petroleum and services operations.
Prior to The Boss Group, Mr. Tresca was a Founder and Managing
Director of a private investment and advisory company focused on
energy and infrastructure opportunities in Central Asia, with special
emphasis on Kazakhstan. Prior to his private investment and advisory
company, he was the Managing Partner of Price Waterhouse Kazakhstan.
Prior to Kazakhstan, he was a Certified Public Accountant with Price
Waterhouse in the United States. He has extensive experience doing
business startups, acquisitions, international taxation and structuring,
privatizations, joint ventures, mergers, and corporate finance. |

Mr. Gray, an international
lawyer, is a Managing Director with The Boss Group. He has an extensive
background in domestic and international corporate and natural resource
transactions.
Prior to joining The Boss Group in January 2004, Mr. Gray was a
partner in the law firm of King & Spalding specializing in natural
resources matters, with emphasis on the emerging markets of the
former Soviet Union, Eastern Europe, Southeast Asia and Latin America.
Mr. Gray also was the founding partner of the Houston office of
the law firm of Mayer, Brown and Platt where he served as Partner-in-Charge
of the Houston office and Member of the Management Committee of
the firm.
Prior to becoming a partner at Mayer, Brown and Platt, he was a
Vice President with Pennzoil Company in Houston and a principal
in an oil & gas venture. He began his career with the law firm
of Baker and Botts in Houston.
Mr. Gray received a Bachelor of Arts degree from Dartmouth College,
a Juris Doctor degree from the University of Michigan Law School
and the degree of Master of Laws (in Taxation) from New York University
School of Law. He is licensed to practice law in the States of Texas
and Colorado, USA. |

Mr. Dowden is a Managing
Director with The Boss Group. Prior to the Boss Group, Mr. Dowden
was President and Chief Executive officer of Volvo Group North America,
Inc. and Senior Vice President of its Swedish parent company, AB
Volvo. Prior to joining Volvo in 1974 as General Counsel to its
North American operations, he practiced law with the New York based
international law firm of Rogers & Wells (now Clifford Chance).
He serves as a Director of the AIM Funds, a large family of mutual
funds, and Magellan Insurance, a Bermuda based Reinsurance Company.
He also serves as Chairman of the Cortland Trust, a New York based
money market fund, and on the Advisory Board of Rotary Power International,
a designer and manufacturer off rotary engines. He also acts as
a Director or Chairman of various New York based, and as well as
internationally focused charities. He previously served on the boards
of The Hertz Corporation, Genmar Corporation, National Media Corporation
(NYSE), Annuity & Life RE (NYSE) in additional to that of Volvo
Group North America, Inc. and a number of Volvo boards including
those of its North American operating companies.
He is currently active with a number of trade organizations such
as the national Association of Manufacturers (a Vice Chairman),
the American Scandinavian Foundation (Chairman), the Foreign Policy
Association and the European-American Business Council, among others,
covering international affairs, trade and trade relations, regulatory
and legislative advocacy. |

Ciampolini |

Mr Ciampolini is a Director
of The Boss Group International operations focusing his activities
on healthcare investments.
Mr Ciampolini started his professional career with his family’s
group of companies, which includes private clinics and diagnostic
equipment manufacturing in Italy, France and the United States,
where he was responsible for international business development.
He joined Arthur Andersen in London in 1996, where he was a senior
member of the healthcare corporate finance team, advising on mergers,
acquisitions, initial public offerings and venture capital transactions.
In 1999, Mr Ciampolini founded NephroNet, a chain of independent
dialysis centers in Italy, which was sold to Baxter in 2001. Mr
Ciampolini is also a partner at Healthcare Capital Partners (London),
a private equity and a corporate finance advisory boutique specialized
in life sciences and healthcare. As part of his investment activities,
Mr Ciampolini is a shareholder and director of several healthcare
ventures.
Mr Ciampolini received an MBA from the Imperial College Management
School in 1994 and holds a degree in economics from Kingston University,
Surrey. |

Mr. Maguire is a Director

He is the founder of Healthcare Capital Partners Ltd, a UK investment
firm, and Healthcare Venture Advisors Ltd, a UK based boutique investment
banking firm specializing in the healthcare industry. Mr. Maguire
was formerly the Head of Global Development at NMC where he was
responsible for numerous acquisitions. Prior to NMC, he was the
Co-founder of Andersen Global healthcare corporate finance practice.
Prior to Anderson, he was member of Merrill Lynch investment banking
practice.
Mr. Maguire serves on the board of a number of healthcare ventures. |

Mr. Arcaya is a Director

relations specifically with regard to U.S.- Latin American business.
Mr. Arcaya is an International consultant who has held various diplomatic
postings as Venezuelan Ambassador to the United States, United Kingdom
and Ireland, Chile, Argentina, Australia, New Zealand, Fiji and
the Philippines. He has also served as Venezuelan Minister of the
Interior, and in October 1999, Acting President of Venezuela. He
has received several decorations of Orders of Merit from numerous
countries. He has held various positions in foreign trade and foreign
affairs organizations.
At present he maintains homes and offices in the US and Caracas
and acts as an International Consultant on U.S.-Latin American business,
and certain other areas which his career encompassed. |

Prior to the Boss Group, he was a Vice President of investment
banking with U.S. Bancorp Piper Jaffray. He was involved in a comprehensive
range of activities, including public equity and convertible offerings,
private placements, leveraged buyouts, mergers, sale mandates and
buy-side advisory services. Prior to joining U.S. Bancorp Piper
Jaffray, he was a Management Consultant with the Cambridge Group
focused on developing growth strategies for Fortune 500 corporations.
Prior to consulting, he worked in business development for MCI Communications
and the Nutrasweet Company (formerly a subsidiary of Monsanto).
Mr. Chang earned a Bachelor of Science in industrial engineering
from Northwestern University and Master of Business Administration

Mr. Anderson is an Advisor
with The Boss Group and has extensive experience as a trial lawyer
involved in business, media, construction and real estate litigation.
He is president of the law firm of Van Cott, Bagley, Cornwall &
McCarthy that has offices in Salt Lake City, Ogden and Park City,
Utah. Mr. Anderson is past president of Utah Legal Services, Inc.
and the Salt Lake County Bar Association and has served on boards
of several charitable organizations in the community, including
The Children's Center and United Way. Bob was a board and executive
member of a large retail building supply company in the Rocky Mountain
area and is presently a member of the district advisory board of
Key Bank of Utah. He was Chairman of the Legal Affairs Committee
of the Associated General Contractors of Utah and a member of the
Courts and Judges Committee and former Chairman of the Banking and
Finance Law Section of the Utah State Bar. He is a member of the
Utah State Bar Litigation and Construction Law sections and a member
of the American Bar Association Construction Industry Forum and
Forum on Communications Law. He is an active member of the Rotary
Club of Salt Lake, the Alta Club and the Cottonwood Club.
Mr. Anderson received an A.B. degree from Columbia University and
a law degree from the University of Utah College of Law where he
was a member of the Utah Law Review. |

Morgan |

Mr. Morgan is an Advisor
to The Boss Group and currently serves as Advisor to executive leadership
and to early stage entrepreneurs in the healthcare industry.
From 1975 until his retirement from Arthur Andersen in September,
2000, Mr. Morgan led the health care industry team based in Chicago,
whose practice encompassed more than 125 people and on a regional
basis exceeding $50 million in revenue. He personally directed strategic
projects for major academic medical centers, physician organizations,
HMOs/insurers and has long-term client relationships with pharma
and supply/service companies. He participated in numerous clients’
IPOs, strategic affiliations and M&A transactions.
Mr. Morgan’s 37-year career at Andersen included a three-year
assignment in the Hague, the Netherlands heavily involved with merger
and acquisition evaluation. Starting in the 1970s, Mr. Morgan played
a significant role in developing health care activity in many of
Andersen’s international offices and represented the Firm
in national and international healthcare organizations.
Closely associated with Northwestern University and its Kellogg
School since receiving his BS and MBA degrees, Mr. Morgan has been
the recipient of the Alumni Merit Award and Alumni Service Award;
he chaired the University’s major donor recognition group,
the John Evans Club from 1995 to 1998. He has also had leadership
roles on the Boards of Northlight Theatre, Chicago Architecture
Foundation, University Club of Chicago and the American Board of
Medical Specialties, which oversees quality and certification of
the country’s 500,000 physician specialists. |

and Trading for U.S. Bancorp Piper Jaffray. He opened Piper Jaffray's
Institutional Equity office in London in 1988 broking to United
Kingdom and continental clients. Prior to joining Piper Jaffray,

Planning and Mergers & Acquisitions for Dain Bosworth.

Dr. Zachariah is an

Dr. Zachariah is currently the Medical Director of Information
Technology at the Mayo Foundation and a Professor of Medicine for
the Mayo Medical School. He is a distinguished cardiologist who
has also served as Chairman of the Department of Medicine at Mayo.
Dr Zachariah is a recognized pioneer and national leader in the
field of medical informatics and serves as a special consultant

societies. He has authored over one hundred publications spanning
